1. Introduction and Acceptance

Welcome to NeuroVectis. These Terms and Conditions ("Terms") govern your access to and use of our website located at https://neurovectis.pro and all communication coaching services provided by NeuroVectis ("we," "us," "our," or "Company").

NeuroVectis is a professional communication training organization registered and operating in Osaka, Japan (Registration Number: 23354663), with our principal place of business at 403 Roob Alleyway, Kennaside, TAS 8835, Osaka, Japan.

By accessing our website, booking consultations, or using our services, you ("Client," "you," or "your") agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our services.

Important: Please read these Terms carefully before using our services. These Terms contain important information about your legal rights, remedies, and obligations, including various limitations and exclusions, and a dispute resolution clause.

2. Services Description

NeuroVectis provides professional communication training services, including but not limited to:

Interview Skills Coaching: One-on-one coaching sessions focused on interview preparation, behavioral question techniques, and confidence building
Public Speaking Training: Individual and group programs designed to develop presentation skills and overcome stage fright
Professional Communication Mastery: Comprehensive training in workplace communication, including assertiveness, active listening, and conflict resolution
Presentation Skills Workshops: Intensive sessions covering slide design, storytelling, and delivery techniques
Corporate Training: Customized group programs for organizations
Consultation Services: Assessment sessions and personalized training plans

All services are delivered by qualified communication coaches with relevant experience and expertise. Services may be provided in-person at our Osaka office or via video conference, as agreed upon at the time of booking.

3. Eligibility and Registration

To use our services, you must:

Be at least 18 years of age
Have the legal capacity to enter into binding contracts
Provide accurate, current, and complete information during registration
Maintain and promptly update your registration information
Be responsible for maintaining the confidentiality of your account credentials

We reserve the right to refuse service, terminate accounts, or cancel orders at our sole discretion, particularly if we believe there has been a violation of these Terms.

4. Booking and Scheduling

4.1 Booking Process

Clients may book services through:

All bookings are subject to coach availability and confirmation from NeuroVectis.

4.2 Confirmation

Once a booking request is received, we will send a confirmation email within 24-48 hours containing:

Service details and session dates/times
Coach assignment
Location or video conference details
Payment information and instructions
Cancellation and rescheduling policies

4.3 Scheduling Changes

Clients may request to reschedule sessions by providing at least 24 hours' notice. Rescheduling requests should be submitted via email or phone. We will make reasonable efforts to accommodate rescheduling requests, subject to coach availability.

NeuroVectis reserves the right to reschedule sessions due to coach unavailability, emergencies, or other unforeseen circumstances. We will provide as much advance notice as possible and work with you to find alternative dates.

5. Fees and Payment

5.1 Service Fees

Service fees are determined based on:

Type and duration of service
Number of sessions
Individual versus group coaching
Customization requirements

All fees will be clearly communicated before booking confirmation. Prices are subject to change, but changes will not affect confirmed bookings.

5.2 Payment Terms

Payment is required according to the following terms:

Individual sessions: Full payment due before the scheduled session
Multi-session programs: 50% deposit required upon booking, with the balance due before the final session
Corporate programs: Payment terms negotiated in separate agreements

5.3 Payment Methods

We accept payment via:

Credit/debit cards (Visa, MasterCard, American Express)
Bank transfer
PayPal
Other methods as mutually agreed

Payment processing is handled by secure third-party processors. We do not store complete credit card information on our servers.

5.4 Late Payment

Failure to pay fees on time may result in:

Suspension or cancellation of scheduled sessions
Late payment fees of 1.5% per month on overdue amounts
Collection action for unpaid balances

5.5 Currency

All fees are quoted in Japanese Yen (JPY) unless otherwise specified. Exchange rates applied at the time of payment may vary from quoted rates.

6. Cancellation and Refund Policy

Please refer to our separate Refund Policy for detailed information regarding cancellations, refunds, and related procedures. The Refund Policy is incorporated by reference into these Terms.

In summary:

Cancellations with 48+ hours notice: Full refund or rescheduling
Cancellations with 24-48 hours notice: 50% refund or rescheduling
Cancellations with less than 24 hours notice: No refund
No-shows: No refund

7. Client Responsibilities

As a client of NeuroVectis, you agree to:

Attend Scheduled Sessions: Arrive on time and prepared for all scheduled coaching sessions
Active Participation: Engage actively and honestly in the coaching process
Complete Assignments: Complete any recommended exercises, practice activities, or homework
Provide Feedback: Communicate openly about your experience and progress
Technical Requirements: For virtual sessions, ensure you have reliable internet, functioning camera, and microphone
Confidentiality: Maintain confidentiality regarding proprietary coaching materials and methodologies
Respectful Conduct: Treat coaches and staff with respect and professionalism
Accurate Information: Provide truthful information about your background, goals, and needs

8. Code of Conduct

Clients must not:

Engage in harassing, abusive, or discriminatory behavior toward coaches or staff
Record sessions without explicit written consent
Share, reproduce, or distribute proprietary coaching materials
Attend sessions under the influence of alcohol or drugs
Use services for unlawful purposes
Misrepresent their identity or credentials

Violation of this Code of Conduct may result in immediate termination of services without refund.

9. Intellectual Property Rights

9.1 Ownership

All content, materials, methodologies, curricula, assessments, handouts, presentations, and other intellectual property provided by NeuroVectis remain our exclusive property. This includes but is not limited to:

Training materials and handouts
Presentation slides and templates
Assessment tools and frameworks
Proprietary coaching methodologies
Video recordings and audio content
Written guides and workbooks

9.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to use coaching materials solely for your personal development purposes. You may not:

Reproduce, distribute, or publicly display materials
Create derivative works based on our materials
Use materials for commercial purposes
Share materials with third parties
Remove copyright or proprietary notices

9.3 Website Content

The NeuroVectis website, including text, graphics, logos, images, audio clips, and software, is our property or that of our licensors and is protected by copyright, trademark, and other intellectual property laws.

10. Confidentiality

10.1 Our Commitment

NeuroVectis maintains strict confidentiality regarding all client information, session content, and personal details shared during coaching. We will not disclose client information to third parties except:

With your explicit written consent
As required by law or legal process
To protect safety or prevent harm
As outlined in our Privacy Policy

10.2 Client Confidentiality

Clients must maintain confidentiality regarding proprietary coaching methods, materials, and other confidential information shared by NeuroVectis.

11. Limitation of Liability

To the maximum extent permitted by law:

NeuroVectis provides coaching services "as is" without warranties of any kind, either express or implied
We do not guarantee specific outcomes, job offers, career advancement, or other results
Our total liability for any claims arising from services shall not exceed the amount paid by the client for those services
We are not liable for indirect, incidental, consequential, special, or punitive damages
We are not responsible for technical issues, internet outages, or other circumstances beyond our control affecting virtual sessions

12. Disclaimers

Important disclaimers regarding our services:

Not Therapy: Our coaching services are educational and developmental, not therapeutic or medical services
No Guarantees: We cannot guarantee employment, promotion, or specific professional outcomes
Individual Results: Results vary based on individual effort, circumstances, and application of learned skills
Professional Advice: Our coaching does not constitute legal, financial, or other professional advice
Third-Party Content: We are not responsible for third-party website content or services linked from our site

13. Indemnification

You agree to indemnify, defend, and hold harmless NeuroVectis, its officers, coaches, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

Your violation of these Terms
Your misuse of our services
Your violation of any third-party rights
Any content you provide or actions you take

14. Modifications to Services and Terms

NeuroVectis reserves the right to:

Modify, suspend, or discontinue any aspect of our services at any time
Update these Terms periodically to reflect changes in our practices or legal requirements
Change pricing for future services (confirmed bookings remain at agreed prices)

Material changes to Terms will be communicated via:

Email notification to registered clients
Prominent website notice
Updated "Last Modified" date

Continued use of services after modifications constitutes acceptance of updated Terms.

15. Termination

15.1 Termination by Client

Clients may terminate their engagement with NeuroVectis at any time, subject to our cancellation and refund policies.

15.2 Termination by NeuroVectis

We reserve the right to terminate services immediately without refund if:

Client violates these Terms or Code of Conduct
Client provides false information
Client engages in harassment or abusive behavior
Client's actions pose risk to coaches, staff, or other clients
Payment obligations are not met

15.3 Effect of Termination

Upon termination:

Access to services and materials ceases immediately
Outstanding payment obligations remain due
Confidentiality obligations continue indefinitely
Provisions designed to survive termination remain in effect

16. Dispute Resolution

16.1 Governing Law

These Terms are governed by the laws of Japan, without regard to conflict of law principles.

16.2 Informal Resolution

Before initiating formal proceedings, parties agree to attempt good-faith informal resolution by contacting NeuroVectis at info@neurovectis.pro with a detailed description of the dispute.

16.3 Jurisdiction

Any legal action arising from these Terms or use of our services shall be brought exclusively in the courts of Osaka, Japan. Both parties consent to the personal jurisdiction of these courts.

16.4 Arbitration

If informal resolution fails, disputes may be submitted to binding arbitration under the rules of the Japan Commercial Arbitration Association, with proceedings conducted in Osaka, Japan, in English or Japanese as mutually agreed.

17. Force Majeure

NeuroVectis shall not be liable for failure to perform obligations due to circumstances beyond our reasonable control, including:

Natural disasters (earthquakes, typhoons, floods)
Pandemics or public health emergencies
Government actions or regulations
Strikes or labor disputes
Telecommunications or internet failures
War, terrorism, or civil unrest

In such events, we will make reasonable efforts to reschedule services or provide alternative arrangements.

18. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. Invalid provisions shall be modified to the minimum extent necessary to make them valid and enforceable.

19. Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and NeuroVectis regarding use of our services and supersede all prior agreements, communications, and understandings.

20. Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. No waiver shall be effective unless made in writing.

21. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. NeuroVectis may assign or transfer its rights and obligations without restriction.

22. Third-Party Services

Our services may integrate with or link to third-party services (video conferencing platforms, payment processors, etc.). Use of third-party services is subject to their respective terms and conditions. We are not responsible for third-party services or content.
